1. Introduction

Welcome to TBW (To Be Wed), operated by Syncworx Limited ("we", "us", or "our"). These Terms of Service ("Terms") govern your use of the TBW platform at www.tobewed.ie ("Platform"), which connects couples planning weddings with verified wedding service suppliers.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Platform.

2. About Our Service

2.1 Platform Purpose

TBW is a marketplace platform that facilitates connections between couples seeking wedding services ("Couples") and wedding service suppliers ("Suppliers"). We provide the technology infrastructure to enable:

• Couples to publish structured briefs outlining their wedding service requirements
• Verified Suppliers to submit sealed proposals in response to briefs
• Secure messaging between Couples and Suppliers
• Proposal comparison and supplier selection tools

2.2 Platform Role

Important: TBW is a technology platform only. We are not a party to any contracts formed between Couples and Suppliers. We do not:

• Provide wedding services ourselves
• Act as an agent for Couples or Suppliers
• Guarantee the quality, safety, or legality of services offered by Suppliers
• Guarantee that Couples will accept any proposals
• Have control over the conduct of Couples or Suppliers

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities under your account

3.2 Account Types

Couple Accounts: For individuals planning weddings who wish to publish briefs and receive proposals.

Supplier Accounts: For verified wedding service providers who wish to view briefs and submit proposals.

3.3 Supplier Verification

Supplier accounts undergo a verification process which may include review of business credentials, insurance documentation, and previous work portfolios. Verification does not constitute endorsement and does not guarantee service quality.

4. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation
• Submit false, misleading, or fraudulent information
• Attempt to circumvent the Platform to transact directly and avoid fees
• Scrape, copy, or harvest data from the Platform using automated means
• Interfere with or disrupt the Platform or servers
• Upload viruses or malicious code
• Harass, abuse, or harm other users
• Use the Platform to send spam or unsolicited communications
• Share login credentials or allow unauthorized access to your account

5. Brief Publication and Proposals

5.1 Couple Obligations

When publishing a brief, Couples agree to:

• Provide accurate and complete information about their requirements
• Respond to proposals and messages in a timely, professional manner
• Not discriminate against Suppliers on prohibited grounds
• Honor any commitments made through the Platform

5.2 Supplier Obligations

When submitting proposals, Suppliers agree to:

• Submit accurate pricing and service descriptions
• Have the necessary licenses, insurance, and permits to provide services
• Honor pricing and terms included in accepted proposals
• Provide services professionally and in accordance with industry standards
• Not contact Couples outside the Platform until a proposal is accepted

5.3 Sealed Proposal System

Proposals remain sealed (not visible to competing Suppliers) until the brief closes. This ensures fair competition and prevents price manipulation.

6. Fees and Payment

6.1 Platform Fees

TBW may charge fees for access to certain Platform features. Current fee structures are available on our Pricing page and may be updated with reasonable notice.

6.2 Payment Between Users

Payments for services are made directly between Couples and Suppliers. TBW does not process service payments and is not responsible for payment disputes between users.

7. Intellectual Property

7.1 Platform Content

All content on the Platform, including text, graphics, logos, software, and design, is owned by Syncworx Limited or licensed to us and is protected by intellectual property laws.

7.2 User Content

You retain ownership of content you submit to the Platform (briefs, proposals, messages, images). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the Platform.

8. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with GDPR and Irish data protection law. By using the Platform, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Liability for User Conduct

We are not liable for the conduct, quality of services, or contract performance of Couples or Suppliers. We do not guarantee that:

• Suppliers will fulfill their obligations under contracts with Couples
• Services will meet your expectations or requirements
• The Platform will be uninterrupted, secure, or error-free
• Any information on the Platform is accurate, complete, or current

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCWORX LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from your use of the Platform shall not exceed the greater of (a) €100 or (b) the amount you paid us in the 12 months before the claim arose.

10. Indemnification

You agree to indemnify and hold harmless Syncworx Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content submitted to the Platform

11. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for conduct that we believe:

• Violates these Terms or applicable law
• Could harm us, other users, or third parties
• Could expose us to liability

You may terminate your account at any time by contacting us. Termination does not affect any existing obligations between you and other users.

12. Dispute Resolution

12.1 Between Users

TBW is not responsible for resolving disputes between Couples and Suppliers regarding service delivery, payment, or contract terms. Users are encouraged to resolve disputes directly and may seek legal advice or mediation if needed.

12.2 With TBW

These Terms are governed by Irish law. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Irish courts.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Syncworx Limited regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
